HARDCASTLE RESTAURANTS PVT LTD CORPORATE SOCIAL RESPONSIBILITY (CSR) POLICY

At Hardcastle Restaurants Pvt Ltd (HRPL, us or we), CSR is defined as the integration of business operations and values, whereby the interests of all stakeholders including investors, customers, employees, the community and the environment
Philosophy:
HRPL works through a conscious strategy to design and implement impact investment programmes in the context of HRPL’s businesses, by enriching value chains that encompass the most disadvantaged sections of society.
Preamble:
HRPL seeks to be a good corporate citizen in all aspects of its operations and activities. It is the Company’s intent to make a positive difference to society. It recognizes that it cannot do it all; so that if there are choices to be made, prioritization will be towards doing fewer projects with greater impact and focusing initiatives on communities in which the Company lives and operates.
Principles:
To this end we have brought together a series of operating principles (as listed below) under the broad heading of CSR to serve as a guide to employees in all aspects of their work for the company. The principles cover all areas of the company’s operations and have been developed with reference to the relevant codes of corporate governance and best practices. Taken together, these principles form our CSR policy.

Conducting business in a socially responsible and ethical manner;
Protecting the environment and the safety of people;
Supporting human rights; and
Engaging, learning from, respecting and supporting the local communities and cultures with which we work.
Purpose and Aims:
The purpose of the policy is to make clear to all stakeholders what we mean by CSR and how we propose to work towards achieving it. The CSR policy applies throughout all of our procurement and operations and governs our approach to all our activities;

In alignment with our Standards of Business Conduct, HRPL will ensure that all matters of CSR are considered and supported in our operations and administrative matters and are consistent with HRPL’s stakeholders’ best interests. All HRPL employees, suppliers and contractors will adopt the CSR considerations described in this policy into their day-to-day work activities. HRPL’s leaders will act as role models by incorporating those considerations into decision-making in all business activities.
Policy:
To pursue a corporate strategy that enables realization of the goals of shareholder value enhancement and societal value creation in a mutually reinforcing and synergistic manner.
To align and integrate social impact investments / CSR programmes with the business value chains of the Company and make them outcome- oriented.
To sustain and continuously improve standards of Environment, Health and Safety through the collective endeavour of HRPL, its employees and its suppliers at all levels towards attaining world class standards and support other programmes and initiatives, internal or external, for the prevention of illness and combating of diseases as may be considered appropriate from time to time.
To encourage the development of human capital of the nation by expanding human capabilities through skills development, vocational training etc.
To promote and establish care centres, care rooms and care houses for the benefit of needy and underprivileged people both within and outside hospitals and medical centres, free of cost.
To promote and encourage education at the levels of pre-primary, primary and secondary schools, colleges, universities, and vocational academies and institutions.
To contribute to a host of communities’ quality of life by supporting innovative programs health, education, social services and the environment, as well as cultural and civic projects.
To support a host of communities through donations in cash or kind (books, toys, clothes, food etc)
Business Ethics and Transparency:
HRPL is committed to maintaining the highest standards of integrity and corporate governance practices in order to maintain excellence in its daily operations, and to promote confidence in our governance systems.
HRPL will conduct its business in an open, honest, and ethical manner.
HRPL recognizes the importance of protecting all of our human, financial, physical, informational, social, environmental, and reputational assets.
HRPL will advise our partners, contractors, and suppliers of our CSR Policy, and will work with them to achieve consistency with this policy.
HRPL is committed to measuring and publicly reporting performance on its CSR programmes.
Environment Health & Safety:
HRPL is committed to protecting the health and safety of all individuals affected by our activities, including our employees, business associates and the public at large.
HRPL will provide a safe and healthy working environment, and will not compromise the health and safety of any individual.
HRPL is committed to environmental protection and stewardship.
HRPL recognizes that pollution prevention, biodiversity and resource conservation are key to a sustainable environment, and will effectively integrate these concepts into the business decision-making.
All employees are responsible and accountable for contributing to a safe working environment, for fostering safe working attitudes, and for operating in an environmentally responsible manner.
Sustainability:
HRPL maintains a Sustainable Procurement Policy that sets out the principles, policies and procedures on which sustainable business activity within Company is based. The said Policy acts as a prompt to staff to consider sustainability as a factor in all purchasing decisions
HRPL encourages use of car pooling, use of public transportation, reduction of air travel, use of video conferencing, so as to reduce our carbon footprint. We seek to understand the effects our activities have on the environment and to continually improve its environmental performance by supporting initiatives such as:
Waste minimization at our restaurants
Recycling of plastic, paper, food and oil waste at our restaurant operations
Reduction of material and energy consumption – such as the use of LED lighting, open-air seating and so on.
Stakeholder Relations:
HRPL will engage with stakeholders clearly, honestly, and respectfully.
HRPL is committed to timely and meaningful dialogue with all stakeholders, including shareholders, customers, and employees, local residents, indigenous peoples, governments, regulators, and landlords, among others.
Employee Relations:
HRPL will ensure that employees are treated fairly and with dignity and consideration for their goals and aspirations and that diversity in the workplace is embraced.
HRPL will apply fair labour practices, while respecting the national and local laws of the country and communities where we operate.
HRPL is committed to providing equal opportunity in all aspects of employment and will not engage in or tolerate unlawful workplace conduct, including discrimination, intimidation, or harassment.
Community Investment:
HRPL stresses collaborative, consultative, and partnership approaches in its community investment programs.
HRPL will integrate Community Investment considerations into decision-making and business practices, and will assist in local capacity building to develop mutually beneficial relationships with communities.
HRPL will strive to provide employment and economic opportunities in the communities where we operate. HRPL will support its employees in fundraising for charities and participating in voluntary work for the benefit of charitable organizations by contributing their time, with HRPL recognising both the benefit to the community and to the employees themselves.
List of CSR projects or programs:
The following shall be the list of CSR projects or programs at the present time:
To promote and encourage education at the levels of pre-primary, primary and secondary schools, colleges, universities, and vocational academies and institutions.
To support a host of communities through donations in cash or kind (books, toys, clothes, food etc).
The above fall within entry (ii) of Schedule VII of the Companies Act, 2013.
Monitoring process for the above CSR projects or programs:
The activities of the Company as regards the above CSR projects or programs shall be implemented by the Corporate Communications team of the Company, supported by various support functions such as Finance & Accounts, Legal etc. and the same shall be monitored and viewed from time to time by the CSR Committee of the Board of Directors of the Company.
Surplus arising out of the CSR projects or programs or activities:
The Company does not anticipate any surplus arising out of any of its CSR projects or programs or activities. It is hereby specified however that any such surplus shall not form part of the business profit of the Company.
